On January 28, 2025, Semler Scientific completed a $100 million private offering of 4.25% Convertible Senior Notes due 2030, and, following the completion of its merger with Strive, those notes were amended via a supplemental indenture dated January 16, 2026 so that conversions now result in Strive Class A common stock instead of Semler shares, while preserving Semler’s discretion over the form of conversion consideration and cash settlement terms. In connection with the January 16, 2026 merger closing, each outstanding share of Semler common stock was converted into the right to receive 21.05 shares of Strive common stock, all Semler equity awards were rolled into Strive equity on equivalent terms with specified vesting accelerations, the company terminated its at-the-market equity sales agreement, moved to delist and deregister its common stock from Nasdaq and the SEC, and implemented a full change in corporate governance and organizational documents as Merger Sub’s directors, officers, charter and bylaws took effect for the surviving Semler entity, materially reshaping ownership, capital markets access and control for shareholders and noteholders.
