Santech Holdings ( (STEC) ) has provided an announcement.
On December 19, 2025, Santech Holdings Limited held an extraordinary general meeting in Hong Kong at which shareholders approved a broad restructuring package, including changing the company’s English name to BitVentures Limited (subject to approval by the Cayman Islands registrar), consolidating every 20 ordinary shares into one new ordinary share with a higher par value, and subsequently increasing authorized share capital to 100 million ordinary shares. Investors also backed the adoption of a new set of amended and restated constitutional documents, re-elected director Lawrence Wai Lok and independent directors Wing To Howard Chan and Fai Kam, and authorized directors and officers to implement the resolutions, moves that collectively refresh the governance framework and expand future capital-raising flexibility. In parallel, the company confirmed that its American Depositary Receipt facility will be terminated on December 29, 2025, with ADSs expected to cease trading and be cancelled that day, after which each former ADS holder is to receive 20 ordinary shares; Santech plans for its post-consolidation ordinary shares to begin trading on Nasdaq under the new ticker “BVC” on or around December 29, 2025, although the timing and ultimate clearance of this substitution listing by Nasdaq remain uncertain, creating a key near-term execution risk for existing shareholders.
