Prudential has agreed to increase its ownership in Prudential Assurance Malaysia Berhad, via its indirect subsidiary PCHL, by acquiring an additional 19% stake in SHS from Malaysian shareholder Detik Ria for RM1.52 billion (around US$375 million), lifting its effective interest in SHS from 51% to 70% while Detik Ria’s stake falls to 30%. The connected transaction, which has already received Bank Negara Malaysia’s approval and is subject only to completion mechanics, was priced using price-to-earnings and price-to-book multiples benchmarked against comparable Southeast Asian life insurers, falls within Hong Kong Listing Rules reporting thresholds but does not require independent shareholder approval, and is expected to be accretive to Prudential’s earnings per share, embedded value and shareholders’ equity, strengthening its economic exposure and strategic position in the Malaysian life insurance market while committing to cooperate with Detik Ria on any future sale of its remaining stake.
