Probe Gold ( (TSE:PRB) ) has issued an announcement.
Probe Gold said that leading proxy advisory firms Institutional Shareholder Services and Glass Lewis have both recommended that shareholders support the proposed cash acquisition of the company by Fresnillo, under which an indirect Fresnillo subsidiary would acquire all Probe shares for C$3.65 each, valuing the deal at about C$780 million and representing premiums of 39% and 26% over recent trading benchmarks. Probe’s board unanimously backs the transaction, arguing it is in the best interests of shareholders by providing immediate value, full liquidity and deal certainty, and, if approved at a special meeting on January 13, 2026 and all conditions are met, the company expects the deal to close in the first quarter of 2026, after which its shares would be delisted from the TSX and it would cease to be a reporting issuer in Canada.
