Plymouth Industrial Reit ( (PLYM) ) has issued an update.

On October 24, 2025, Plymouth Industrial REIT, Inc. entered into a merger agreement under which the company will merge into a subsidiary of PIR Ventures LP, with its operating partnership also combining with a related subsidiary immediately beforehand, leaving both surviving entities as wholly owned units of the acquiring group. In connection with this pending transaction, a special shareholders’ meeting to vote on the mergers is scheduled for January 22, 2026, and, separately, on January 9, 2026, Redimere Advisors LLC filed a complaint in Massachusetts state court alleging breach of a 2022 engagement letter and sought emergency relief to restrict disposition of certain merger-related funds, though it has clarified it is not seeking to block consummation of the mergers; Plymouth Industrial REIT has stated it believes the claims are without merit and plans to vigorously defend against them, introducing a layer of legal uncertainty but not an explicit challenge to closing the deal.
