In the run-up to that vote, Plymouth has received ten stockholder demand letters and two lawsuits in New York state court alleging inadequate disclosure in its merger proxy materials; while the company rejects the claims as meritless and denies any legal violations, it has chosen to voluntarily supplement its definitive proxy statement with additional detail on confidentiality agreements, standstill and “don’t ask, don’t waive” provisions, deal process, valuation assumptions and financial analyses in order to reduce litigation risk and avoid potential delays to closing, giving investors more visibility into how the board and its advisers evaluated the $22 per share merger consideration.
