On December 1, 2025, OpGen, Inc. entered into and completed a share sale agreement with its controlling stockholder AEI Capital Ltd. to acquire all the issued and outstanding shares of Sun Investment Enterprises Limited, the British Virgin Islands holding company that owns Malaysian fintech provider iCapX Sdn. Bhd. The purchase price of approximately $12.28 million will be settled through the issuance of 2,028,867 OpGen common shares at $6.052 per share, expected to be issued around January 20, 2026, making iCapX an indirect, wholly owned subsidiary and deepening OpGen’s position in cap table management and corporate advisory services; following the closing on December 1, 2025, iCapX completed advisory work for a private client, triggering an $80,000 cash advisory fee plus equity equal to 1.4% of the client’s outstanding shares, which OpGen estimates at about $14 million, highlighting the potential value and strategic upside of the acquired platform and its client base.
