Lithium Americas Corp. ( (TSE:LAC) ) has provided an update.

On January 30, 2026, Lithium Americas Corp. and its subsidiaries implemented a series of agreements with the U.S. Department of Energy (DOE) and General Motors-related entities under a previously disclosed omnibus waiver, consent and amendment. The company issued the DOE a warrant to purchase up to 18,268,687 common shares (5% of outstanding shares on the issuance date) at a nominal exercise price, and the LAC-GM Joint Venture issued a separate warrant for Non-Voting Units representing a 5% economic interest in the joint venture, each exercisable for ten years and subject to anti-dilution adjustments. A registration rights agreement obliges Lithium Americas to register for resale the common shares issuable upon exercise of these warrants, while a put, call and exchange agreement gives the DOE the right to sell or exchange its JV warrant interests to or through GM Holdings, and grants GM Holdings a corresponding call right after substantial completion milestones at the Thacker Pass Project. The joint venture’s LLC agreement was also amended to define the rights of the new Non-Voting Units and require most capital contributions, including those tied to the DOE loan, to be made at fair market value, tightening the capital structure and clarifying DOE’s economic stake in both Lithium Americas and the LAC-GM Joint Venture.
