Lifeward has called an Extraordinary General Meeting of shareholders for March 12, 2026, in Hudson, Massachusetts, to vote on several corporate actions tied to a major strategic transaction and related governance and compensation matters. Shareholders will be asked to approve the issuance of ordinary shares to Oramed and certain investors in connection with Lifeward’s planned acquisition of Oratech and related financing instruments, a move that could give Oramed at least 45% and potentially more than 49.99% of the company’s voting power and may constitute a change of control under Nasdaq rules.
