Country Garden Holdings has confirmed that its offshore debt restructuring has become effective as of 30 December 2025, marking a key milestone in its efforts to address financial pressures. Under the court-sanctioned scheme, the group is cancelling its existing offshore debt and releasing existing obligors in exchange for a complex package of new instruments and limited cash payments, including multiple tranches of mandatory convertible bonds, medium-term notes, long-term notes and loans, alongside US$289 million in cash and newly issued shares to cover restructuring support fees. The scheme consideration is now being distributed to scheme creditors and Chong Hing Bank under bespoke bilateral terms, effectively crystallising losses for existing creditors while providing the developer with extended maturities and capital structure relief that may support ongoing operations and financial stability.
