At its ordinary board meeting held on December 10, 2025, Companhia Paranaense de Energia (Copel) approved the distribution of extraordinary dividends totaling R$1.35 billion from its profit reserve, to be attributed to the 2025 dividends. Shareholders of record as of December 30, 2025 will be entitled to the proceeds, with the shares trading ex-dividend from January 2, 2026 and payment to be made by June 30, 2026, reinforcing Copel’s policy of returning cash to investors while maintaining adherence to its formal dividend policy and bylaws. The board also authorized Copel to provide corporate fiduciary guarantees for the 11th issuances of simple, non-convertible debentures by its subsidiaries Copel Distribuição S.A. and Copel Geração e Transmissão S.A., including up to R$2 billion in unsecured debentures with additional fiduciary guarantees for Copel Distribuição indexed to IPCA and maturing in 12 years. These funding operations, to be publicly offered in Brazil under the automatic registration regime with firm placement, are aimed at financing or reimbursing investments in the expansion, improvement and reinforcement of electricity distribution and transmission assets, supporting Copel’s long-term infrastructure program while leveraging domestic capital markets.
