On January 22, 2026, BV Financial, Inc. and BayVanguard Bank entered into a Separation, Consulting and Release Agreement with Co-President and Co-Chief Executive Officer David M. Flair, under which he resigned from all officer and director roles at the company and the bank on that date, and his 2018 employment agreement was terminated. In exchange for a general release and compliance with restrictive covenants, Flair will receive a lump-sum cash payment of $2,142,182, his earned fiscal 2025 bonus, fixed annual benefits of $60,000 under the Salary Continuation Plan, continued coverage under an existing Executive Split Dollar Agreement, and a consulting role through September 7, 2028, during which he will advise the board on strategic plans and, contingent on continued service, vest in substantial restricted stock and stock options, subject to pro rata vesting or forfeiture depending on how the consulting arrangement ends, alongside non-compete, non-solicitation, confidentiality and non-disparagement provisions that remain in effect only while he is a consultant.
