Waton Financial Limited disclosed that on November 19, 2025 its wholly owned subsidiary Waton AI Genius Holding Limited agreed to purchase a US$2.82 million convertible promissory note from Cayman-based PandaAI Quantum Holdings, a joint-venture vehicle for AI-powered quantitative trading. After closing and satisfaction of conversion conditions, Waton AI converted the note into 7.5 million founding partner preferred shares at a price of US$0.376350156 per share on April 16, 2026, formalizing its equity stake in the AI trading venture.
The company also reported that on April 19, 2026 it signed a finder’s services agreement with OCASIA Group Holdings to help its wholly owned SPAC, Love & Health Limited, source potential acquisition targets. Under the agreement, Waton will pay an upfront US$1.2 million fee, creditable against a success fee tied to the pre-money valuation of any introduced target, aligning incentives as the SPAC seeks a sizable business combination in the coming months.
