On May 5, 2026, VSE Corporation closed its acquisition of Precision Aviation Group for approximately $2.025 billion in cash and equity, plus up to $125 million in contingent earnout tied to 2026 profitability targets. The deal, funded in part by February 2026 equity offerings and a new $900 million Term Loan B maturing in 2033, is expected to increase VSE’s revenue by about 50% on a pro forma 2025 basis and be immediately accretive to adjusted EBITDA margins.

The transaction creates a scaled independent aviation aftermarket platform with 61 locations in eight countries, including 48 repair facilities and 11 distribution centers, expanding VSE’s MRO and distribution capabilities across commercial, business and general aviation, rotorcraft, OEM and defense markets. In connection with the May 5 closing, VSE also upsized its revolving credit facility to $500 million and implemented exchange, registration-rights and lock-up arrangements with the seller, underscoring a capital structure and governance framework aimed at supporting integration, synergy realization and long-term growth for stakeholders.
