Viking Acquisition Corp. I Class A ( (VACI) ) has provided an update.
On April 16, 2026, Viking Acquisition Corp. I signed a Business Combination Agreement to merge with NorthStar Earth and Space Inc., using a Canadian amalgamation structure involving a new entity, Viking NS Amalgamation Corp. On May 15, 2026, the parties executed an amendment that reshapes the sequencing and mechanics of the deal, notably moving the redemption of Viking’s public shares to occur before Viking’s redomiciling to Canada and before the closing of the transaction.
The amendment also revises how shares, warrants and other equity will convert at closing and clarifies the intended tax treatment of the cross-border deal in both the U.S. and Canada, aiming to provide greater structural and tax certainty for investors. Viking plans to register the securities to be issued in the merger and solicit shareholder approval via a forthcoming SEC registration statement and proxy, while cautioning that the transaction remains subject to regulatory review, shareholder votes, financing conditions and numerous business and market risks that could affect completion and the combined company’s future performance.
