An announcement from Shenzhen Investment ( (HK:0604) ) is now available.
Shum Yip Group, the controlling shareholder of Shenzhen Investment and a key shareholder in subsidiary Shenye Wansheng, has moved to consolidate its stake by conditionally agreeing to acquire a 35.17% equity interest in Shenye Wansheng from Zhongshan Wanye. The transaction structure involves a RMB30 million deposit that may be paid in commercial and office properties, enabling Shum Yip Group to deepen control over the subsidiary’s real estate platform.
To facilitate this arrangement, Shenye Wansheng has signed offsetting debt agreements under which it will transfer properties valued at about RMB30.36 million to Zhongshan Wanye on behalf of Shum Yip Group to partially repay an outstanding shareholder loan. Classified as a connected transaction under Hong Kong listing rules, the deal is small enough to require only reporting and disclosure, signalling a balance-sheet tidying exercise that simplifies intra-group liabilities without needing independent shareholder approval.
