Rosebank Industries has agreed to acquire U.S. industrial groups MW Components and CPM for a combined enterprise value of $3.05 billion on a debt‑ and cash‑free basis. MW Components is a leading U.S. maker of engineered fasteners, springs and precision metal components, while CPM supplies highly engineered processing equipment across oilseed, animal feed, renewable energy, plant‑based foods and industrial materials.

The deal will be funded through an approximately £1.9 billion fully underwritten institutional equity raise, a concurrent UK retail offer and new debt facilities, targeting opening leverage of about 2.75 times EBITDA. Rosebank aims to lift operating margins at both acquired businesses by 6–7 percentage points and improve cash generation, positioning the transaction as the next step in its “buy, improve, sell” strategy after the ECI acquisition, with completion expected in the second quarter of 2026 subject to shareholder and regulatory approvals and a planned move to the London Stock Exchange Main Market in the same period.
