PPK Group Limited ( (AU:PPK) ) has issued an announcement.

PPK Group has agreed to sell its 39.85% stake in Craig International Ballistics to German armour specialist Mehler Vario Systems under a conditional share sale agreement. The deal values CIB at A$86 million on a cash-free, debt-free basis and could deliver up to A$33.43 million to PPK, including a capped earn-out contingent on CIB’s EBITDA performance in 2026 and 2027.

Completion of the transaction is expected by 30 June 2026, subject to regulatory and customary approvals, with a sunset date of the same day for satisfying conditions precedent. PPK plans initially to use A$2 million of proceeds to repay a secured third-party loan, while the broader deployment of funds, including any potential dividends, will be shaped by its ongoing strategic portfolio review and may further reposition the company’s investment mix.

The sale follows unsolicited approaches for CIB and continues PPK’s pattern of crystallising gains from mature holdings as it refines its portfolio. Management framed the disposal as enabling Mehler to unlock CIB’s global growth potential in ballistic protection, while allowing PPK to recycle capital and signal a more focused future direction to shareholders as its review progresses.
