On May 18, 2026, POET Technologies closed a non-brokered registered direct offering of 19,047,620 common shares and matching warrants to a single institutional investor, raising US$400 million at US$21.00 per security, a premium to its recent NASDAQ close. The three-year warrants, exercisable at US$26.25, further underscore investor confidence as POET moves to strengthen its balance sheet and support large-scale engagements in the AI infrastructure market.
The company plans to deploy the proceeds to expand manufacturing capacity roughly ten-fold in wafer production and optical engine assembly, accelerate R&D and its light source business, and pursue targeted acquisitions and partnerships. Management highlighted recent growth, including tripling its Singapore footprint, adding 20,000 square feet of assembly space in Malaysia and increasing global headcount to more than 115, positioning POET to capitalize on high-volume opportunities such as its new Lumilens agreement and to enhance its competitiveness in photonic interconnect solutions for frontier AI.
