On February 14, 2025, Owens Corning disclosed an expected impairment charge tied to the planned sale of its global glass reinforcements business, which has been reclassified as discontinued operations and held for sale in its financial statements. The move reflects a strategic portfolio shift, separating the GR Business from ongoing operations and signaling a reallocation of resources toward higher‑priority growth and return initiatives.
The company had agreed on February 13, 2025 to sell substantially all of the GR Business to affiliates of India‑based Praana Group at an enterprise value of $755 million, but on April 14, 2026 the parties amended the deal amid changing market conditions. Under the revised terms, the enterprise value was reduced to $645 million with about $65 million of additional assets to transfer, eliminating promissory notes, resulting in an extra expected loss on sale of about $140 million and after‑tax net proceeds of roughly $280 million, which Owens Corning plans to deploy for organic growth and shareholder returns upon an anticipated closing in the second quarter of 2026.
