Gold Strike Resources has closed the first tranche of a bought-deal private placement of subscription receipts, raising about $16 million at $0.55 per receipt, with over $1 million in additional committed subscriptions expected in a second tranche in early April. The proceeds, currently held in escrow pending completion conditions, will fund the cash component of its acquisition of the Florin, FLR and RJ gold projects, cover related transaction costs, and support an approximately 10,000-metre drill program and broader exploration work in the Yukon, underscoring investor support for its expansion strategy in the Tombstone Gold Belt.

Under an underwriting agreement with ATB Capital Markets and Canaccord Genuity, Gold Strike paid a 7% cash commission, reduced to 3% for president’s list investors, with half of the commission and future compensation options contingent on closing the acquisition. This financing structure ties underwriter incentives and capital deployment to the successful completion of the deal, reinforcing alignment among the company, its financiers and shareholders as it seeks to scale its Yukon exploration activities.
