Fokus Mining has filed its management information circular and secured an interim court order as it moves ahead with a proposed plan of arrangement under which Gold Candle Ltd. will acquire all outstanding Fokus shares for $0.26 in cash per share. The special shareholder meeting to vote on the transaction is set for April 13, 2026, with completion targeted for the second quarter of 2026, subject to shareholder, court and other customary approvals.
Fokus’s board and a special committee of independent directors have unanimously concluded the offer is fair and in the best interests of shareholders, citing a roughly one‑third premium to recent trading prices and the certainty and liquidity of an all‑cash consideration. The deal, if approved, would crystallize value for investors at a premium while transferring future project and execution risk to the buyer, marking a potential change of control for the junior mining company.
