On May 14, 2026, AES Grid Stability, LLC exercised its redemption right for 10,066,414 common units of Fluence Energy, LLC, with a corresponding cancellation of the same number of Fluence Energy, Inc. Class B-1 shares. Fluence settled the transaction on May 15, 2026, issuing 10,066,414 new Class A shares in a private, non-public offering, effectively increasing the public equity float while simplifying its equity structure.

Separately, on May 12, 2026, Fluence entered an underwriting agreement supporting a secondary public offering of 20,000,000 Class A shares by existing stockholders at $21.00 per share, with underwriters fully exercising a 3,000,000-share option.
