ECR Minerals ( (GB:ECR) ) has issued an update.

ECR Minerals has agreed to acquire Paleogold Limited in a staged, share-based and partly cash-funded deal that will add gold projects in Queensland, Western Australia and South Australia to its portfolio. The transaction is structured around revenue milestones and is intended to transform ECR into a multi-asset producer leveraging its Australian tax losses against future profits.

Through Paleogold, ECR will secure a 50% stake in Lucky Strike’s Maddens Flat Group of Mines in North Queensland, where it plans to invest A$1 million to fast-track gold production using existing plant and camp infrastructure. The company will also take a 20% stake in the Salt Bush project in South Australia, commit A$200,000 to advance it towards targeted production from 2027, and benefit from exploration upside at Tuckanarra and largely untested high-grade zones at Maddens Flat.

The consideration for the Paleogold transactions includes up to 621 million new ECR shares issued in tranches tied to achieving A$5 million and A$10 million in cumulative revenues from the projects, alongside a A$3.86 million convertible loan note and warrants for Lucky Strike vendors. ECR views near-mine exploration at Maddens Flat, where historic high-grade production and an inferred resource have been recorded, as a key value driver and will integrate Paleogold’s operational team to oversee development and production on site.
