Auxly Cannabis Group ( (TSE:XLY) ) has issued an announcement.

Auxly Cannabis Group reported that its stalking horse bid for the assets of Ayurcann Holdings Corp. was not chosen as the winning offer in a court-supervised sale, but has been designated as the back-up bid if the selected transaction fails to close by mid-May 2026. Auxly, which also provided Ayurcann with a $2 million debtor-in-possession financing facility secured by a super-priority charge, expects to be repaid with interest and to receive a break fee and expense reimbursement upon completion of the successful bid.

Chief executive Hugo Alves described the Ayurcann bid as opportunistic and contingent on internal return thresholds, underscoring that the company will continue to seek non-organic growth only where there is a strong strategic fit. In parallel, Auxly plans to focus on organic expansion, aims to generate significant free cash flow in 2026, and is reviewing capital allocation options to enhance shareholder value while reinforcing its leadership ambitions in branded cannabis products.
